You are an independent contractor, not an employee. You set your own hours and accept jobs you want.
Pay: You earn 80โ90% of every repair you complete. On diagnosis-only visits where the customer declines repair, you earn 40% of the service call fee ($35.60 standard / $47.60 emergency). Payment within 24โ48 hours after job completion + photos + customer signature.
Important: You agree not to bypass OrchaNow with any customer we send you for 24 months. Violation = $5,000 per occurrence.

1. Independent Contractor Status
You are engaged as an independent contractor โ not an employee. You control how you perform services. You are responsible for your own taxes (1099-NEC issued at year end), tools, transportation, and supplies.
2. Scope of Work
You agree to accept HVAC service jobs dispatched through OrchaNow. You may decline any individual job without penalty.
Standards of Performance:
- Arrive within agreed dispatch window
- Conduct work professionally and per industry standards
- Provide accurate diagnoses and transparent pricing
- Document work with before/after photos and customer signature
- Communicate professionally with dispatch and customers
3. Payment Terms
Compensation Split
You receive 80% of repair value for standard tier, up to 90% for top-tier performance. OrchaNow retains 10โ20% as a platform fee.
Service Call Fee
The customer-paid service call fee is $89 (standard) or $119 (emergency). Service call fee splits depend on the outcome of the visit:
- Repair completed: OrchaNow retains 100% of the service call fee. Tech earns 80โ90% of the repair amount (see Repair Pay below).
- Diagnosis only โ customer declines repair: Tech earns 40% of the service call fee ($35.60 standard / $47.60 emergency). OrchaNow retains 60%. This compensates Tech for time, travel, and diagnostic work even when no repair is performed.
- No-show by Tech: No payment. Repeated no-shows result in immediate removal from the platform.
- No-show by Customer: Service call fee is collected from Customer; Tech earns 40% (treated as diagnosis-only). Tech must wait at site for at least 15 minutes before declaring a no-show.
The OrchaNow retained portion compensates OrchaNow for dispatch, marketing, customer acquisition, and platform operations.
Payment Timeline
- Submit completed job documentation within 24 hours
- Required: before/after photos, customer signature, itemized work, final invoice
- Payment processed within 24โ48 hours after verified documentation
- Payment method: Zelle, Venmo, ACH, or check
4. Non-Circumvention โ CRITICAL
You acknowledge OrchaNow has invested substantial resources in customer acquisition, marketing, and platform development. Customers introduced through OrchaNow are proprietary business relationships of OrchaNow.
For 24 Months After Your Last Dispatched Job:
You shall NOT, directly or indirectly:
- Provide HVAC services to any OrchaNow customer outside the platform
- Solicit or contact any OrchaNow customer for services outside the platform
- Accept follow-up work, recurring maintenance, or referrals from any OrchaNow customer outside the platform
- Provide business cards or contact information that bypasses OrchaNow
- Encourage or assist others to bypass the platform
- Use customer information for any purpose other than completing the dispatched job
Liquidated Damages: Each violation results in $5,000 per occurrence plus attorneys' fees and injunctive relief. This clause is taken extremely seriously and will be enforced.
5. Non-Solicitation
- Customers: No solicitation of OrchaNow customers for 24 months
- Other Technicians: No recruiting other OrchaNow techs for 12 months
- Staff: No solicitation of OrchaNow employees for 12 months
6. Confidentiality
You will have access to confidential information including customer details, pricing strategies, dispatch systems, and business processes. You agree to:
- Hold all confidential information in strict confidence
- Not disclose to any third party
- Use only for performing services under this Agreement
- Return or destroy all confidential information upon termination
7. Liability and Insurance
Required Credentials
- Valid HVAC license in jurisdiction of work
- General liability insurance โ minimum $1,000,000 per occurrence
- Workers compensation if required by Pennsylvania law
- Valid driver's license and auto insurance
You must provide proof of all credentials before dispatch and notify OrchaNow of any change or lapse immediately.
You agree to indemnify and hold harmless OrchaNow from any claims arising from your work, breach of this Agreement, or violation of law.
8. Termination
Either party may terminate at any time. OrchaNow may terminate immediately for:
- Breach of any provision (especially Sections 4, 5, 6)
- Loss of required licenses or insurance
- Customer complaints, fraud, theft, unsafe work
- Repeated no-shows
- Conduct damaging OrchaNow's reputation
9. Governing Law
This Agreement is governed by Pennsylvania law. Any legal action will be brought in Philadelphia County, Pennsylvania. The prevailing party recovers attorneys' fees.
